Our Constitution

NLCC shall have a Board made up of members who are Christian men and women of sound character, integrity and skill, whose qualification shall be defined in 65.4. or elsewhere in this Constitution.

NLCC Constitution 1.1

1.1 NLCC Governance

NLCC governance shall be under a Board consisting of executive and non executive members. This Board exists as a strategic entity whose purpose is to give directions to the Senior Pastor and Church, advice to the Senior Pastor and ensuring the stability, growth and success of the Church. Under the Founders, the Board shall be of the Episcopalian (advisory) nature as shown in the taxonomy below.

1.3 The Board Charter

The Board shall operate in terms the Board Charter as amended from time to time. The Board Charter is subsidiary to and subject to the provisions of this Constitution. Accordingly, the Chairman of the Board shall ensure that the Charter complies with the Constitution.

1.4 The quorum

The quorum for meetings of the NLCC Board shall not be less than two thirds of the Board membership except as may be otherwise specified elsewhere in this Constitution, in that specific circumstance.

1.5 The Board Authority

The NLCC Board has no authority or powers to remove the Founders and founding Senior Pastors of NLCC from their office, functions and roles.

1.6 The Board Charter

The NLCC Board shall have committees elected within its structure with various mandates for the efficient running and supervision of the Church.

1.7 Fees for The Board

All members of the Board shall be entitled to Board fees and sitting allowances in terms of the prevailing norms. However, internal members, being board member who are members or adherents of NLCC, may waive these fees and allowances in writing. Fees for Board members will be recommended by the Nominations Committee and approved by the Board.

1.8 The Natural State

A board member must be a natural man or natural woman and be of the gender that they were born with and remain in that state at the time of the appointment and during their service on the Board. Members that alter their natural state, are deemed to have automatically resigned their position as a Board of NLCC.

1.9 The Decision Making

The Board shall make decisions by consensus or failing consensus by a simple majority in a secret ballot vote. The Chairman shall have a casting vote in the instance of a deadlock. Any party with an interest warranting recusal, as defined in the Board Charter in a matter presented for discussion or voting, shall be recused from the discussion or vote, though they may be given an opportunity to contribute before being excused to allow free discussion and voting.

2.1 General Responsibilities.

The Board shall oversee the general business of the organization. The entire Board is responsible for such supervision and oversight.

2.2 The Board shall act in the Best Interest of the Organization.

The Board shall act in the best of interests of the organization and its business, taking into consideration the interests of NLCC members and other stakeholders. Board members shall perform their duties independent of any particular interest in the organization.

2.3 Quality of performance.

The Board is responsible for the quality of its own performance and shall intermittently review its own performance.

2.4 Action in Concert.

As much as they can, within their individual responsibilities as members of the Board, members shall act and speak in concert with respect to important affairs and matters of principle once the Board has taken a position on the matter. Accordingly, only an authorized spokesperson shall speak on the behalf of the Church.

2.5 Provision of Information.

The Chairman and the CEO shall see to it that the management, in a timely manner, provides the Board and its Committees with information they need to function properly. The Board and its individual members each have the right to obtain information, needed to carry out their duties, from the management and the internal and external auditors. If the Board thinks it is necessary, it may obtain information from officers and external advisers of the organization. The management shall aid the Board in obtaining such information. The Board may require certain officers and external advisers to attend, but never to vote at its meetings.

2.6 Responsibility for Security of Information.

The Board and its individual members are responsible for the security of information, which they may acquire as a result of their duty attendance of board meetings. The Board shall promote information security and confidentiality. The Board shall be responsible for overseeing organizational structures and processes that safeguard information.

2.7 Privacy and Conduct of Meetings.

Members of the Board shall conduct themselves with the duty of confidentiality and may not divulge Board matters and deliberations to those who are not authorized to receive such information. The electronic recording of proceedings of the Board without specific permission from the Founders and Chairman is prohibited.

2.8 Access to Records.

Each member of the Board shall have access to the books and records of the organization, if useful to perform his or her duties. Unless the Terms of Reference of a Committee states otherwise, Board members shall consult with the Chairman or the Secretary before exercising their rights under this provision.

2.9 Use of Experts.

The Board may hire experts to assist or advise them. The cost of such experts shall require the prior written approval of the Chairman or CEO and shall be paid by the organization. A Board member may rely upon the advice of a relevant expert so long as the member has no reason to question the expert’s report, opinion or conclusion.

2.10 Establishing the Purpose and Setting the Strategy.

The Board shall be responsible for establishing the NLCC Purpose and setting the pace for operations and the development of the vision. The Board shall also be responsible for setting the NLCC strategy, which will be captured and defined as the NLCC Strategy Document, reviewing and evaluating strategy, strategic options and deciding the means to implement and support the strategy.

2.11 Powers of the Board.

The Board of NLCC and the Senior Pastor shall be allowed, out of the funds and resources of the Church, to defend any litigation or matters arising out of their performing of their duties in and on behalf of the Church.

2.12 Self regulating and Self evaluating.

The Board shall be self assessing and shall discuss its own activities and those of its individual members, the effectiveness of such activities, and the composition and competence of the Board.

2.13 Attendance of Meetings.

Members who miss two or more meetings within a period of year, without cause or without being excused by the Chairman shall be deemed to have resigned their position on the Board of NLCC.

2.14 The External Audit

The Board shall be responsible for the appointment, re-appointment and dismissal of and approval of the fees of the external auditors of the Church

2.15 The Board's Supervision

The Board is responsible for the supervision of management and in doing so shall consider and approve the strategy, business plan, budget, financial statements, management accounts, risk management, governance and other reports.
